These Terms of Service ("Terms") constitute a legally binding agreement between you and Shadowstar Technologies LLC ("Company," "we," "our," or "us") governing your access to and use of our proprietary trading automation platform, including our website, mobile applications, APIs, and related services (collectively, the "Service"). By accessing, browsing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use the Service.

These Terms apply to all users of the Service, including individuals, businesses, and their employees or agents. By using the Service on behalf of an entity, you represent and warrant that you have authority to bind that entity to these Terms.

02. Description of Service

Shadowstar provides institutional-grade automated trade execution services that connect TradingView alerts and other algorithmic trading strategies to supported brokers including Tradovate, Interactive Brokers, TradeStation, and Alpaca. The Service includes:

›Real-time webhook processing and trade execution
›Multi-broker connectivity through OAuth2 and API integrations
›Advanced risk management and position monitoring
›Comprehensive trading analytics and reporting
›RESTful API access for custom integrations
›Enterprise-grade security and compliance features

IMPORTANT: The Service facilitates the transmission of trading signals but does not provide investment advice, financial planning, or recommendations. All trading decisions remain solely your responsibility.

03. Intellectual Property Rights

The Service and its original content, features, and functionality are and will remain the exclusive property of Shadowstar Technologies LLC and its licensors. The Service is protected by copyright, trademark, and other intellectual property laws.

3.1 Proprietary Software

All software, algorithms, source code, object code, documentation, designs, graphics, interfaces, and other materials comprising or used in the Service are proprietary to us and are protected by intellectual property laws and international treaties.

3.2 Limited License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Service solely for your internal trading activities. This license is revocable at any time.

3.3 Restrictions

You agree not to:

Copy, modify, adapt, translate, reverse engineer, decompile, disassemble, or create derivative works of the Service
Attempt to access the source code, algorithms, or underlying technology of the Service
Use the Service to develop competing products or services
Remove, alter, or obscure any copyright, trademark, or other proprietary rights notices
Share, sell, rent, lease, or sublicense access to the Service
Use automated tools to access the Service without explicit permission
Circumvent any technological measures designed to protect the Service

04. Risk Disclosure

Trading futures, options, stocks, and other financial instruments involves substantial risk of loss and is not suitable for every investor. The high degree of leverage can work against you as well as for you. Before deciding to trade, you should carefully consider your investment objectives, level of experience, and risk appetite. Most traders lose money.

You may sustain a total loss of capital invested
Past performance is not indicative of future results
Automated trading does not guarantee profits or prevent losses
Market conditions can change rapidly and unexpectedly
You are solely responsible for all trading decisions and outcomes

Shadowstar Technologies LLC does not provide investment advice, does not guarantee any specific results, and is not responsible for any trading losses, costs, or damages incurred through the use of our Service. You should only trade with capital you can afford to lose entirely.

05. User Obligations

5.1 Account Security

You are responsible for maintaining the confidentiality of your account credentials, API keys, and any other authentication information. You must immediately notify us of any unauthorized use of your account or breach of security.

5.2 Compliance with Laws

You agree to comply with all applicable laws, regulations, and rules in your jurisdiction, including securities regulations, anti-money laundering requirements, and tax reporting obligations.

06. Service Availability

We strive to maintain 99.9% uptime for our Service, but we do not guarantee uninterrupted or error-free operation. The Service may be temporarily unavailable due to maintenance, updates, technical issues, or factors beyond our control.

07. Subscription and Billing

Subscription fees are billed in advance according to your selected plan. All fees are non-refundable except as expressly provided in these Terms or required by applicable law. We may change pricing with 30 days' notice.
